1. Agreement to Terms

By accessing or using CertClass ("the Platform", "our Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

CertClass provides a software-as-a-service platform for training providers to manage certification classes, students, payments, and communications.

2. Use License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your business operations.

You may not:

  • Modify, copy, or create derivative works of the Platform
  • Reverse engineer, decompile, or disassemble the Platform
  • Rent, lease, loan, resell, sublicense, or transfer the Platform
  • Use the Platform for any illegal or unauthorized purpose
  • Remove, alter, or obscure any proprietary notices
  • Interfere with or disrupt the Platform's security or functionality

3. Account Registration

You must create an account to use the Platform. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring all registration information is accurate and current

You must be at least 18 years old and have the authority to enter into these Terms on behalf of your organization.

4. Subscription and Billing

Free Trial: We offer a 14-day free trial for new accounts. A valid payment method is required to start the trial, but you will not be charged until the trial period ends. You may cancel at any time during the trial period without being charged.

Paid Subscriptions: After the trial period, continued use requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan.

Payment Processing: All payments are processed through Stripe. By subscribing, you authorize us to charge your payment method for all fees incurred.

Refund Policy: Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms.

Price Changes: We may modify subscription pricing with at least 30 days' notice. Changes will apply at the start of your next billing cycle.

5. Cancellation and Termination

Your Rights: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

Our Rights: We reserve the right to suspend or terminate your account if you:

  • Violate these Terms
  • Provide false or misleading information
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activities
  • Abuse or misuse the Platform

Upon termination, your access to the Platform will cease, and we may delete your data after 30 days unless retention is required by law.

6. User Data and Content

Your Data: You retain all rights to the data you submit to the Platform, including student information, class details, and other content ("User Data").

License to Us: You grant us a limited license to use, store, and process User Data solely to provide and improve the Platform.

Your Responsibilities: You are solely responsible for:

  • The accuracy and legality of User Data
  • Obtaining necessary consents from students and staff
  • Complying with data protection laws (GDPR, CCPA, etc.)
  • Backing up critical data

We are not responsible for any loss or corruption of User Data. We recommend regularly exporting your data.

7. Payment Processing for Students

The Platform enables you to collect payments from your students through Stripe. You are solely responsible for:

  • Connecting your own Stripe account
  • Setting accurate pricing for classes
  • Complying with payment processing laws and regulations
  • Handling refunds and disputes with your students
  • Payment of all applicable taxes and fees

We do not process, hold, or control student payments. All transactions occur directly between you and your students through your Stripe account.

8. Intellectual Property

The Platform, including its source code, design, features, and functionality, is owned by CertClass and protected by intellectual property laws. Our trademarks, logos, and service marks are the property of CertClass.

Enterprise customers with white-label features may customize branding within the Platform but do not gain ownership rights to the underlying software.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the Platform will be uninterrupted or error-free
  • Warranties regarding the accuracy or reliability of results
  • Warranties that defects will be corrected

We do not guarantee that the Platform will meet your specific requirements or that it is suitable for certification compliance. You are responsible for ensuring compliance with all applicable certification body requirements.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CERTCLASS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or data loss
  • Actions or omissions of third-party services (e.g., Stripe, email providers)

Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

11. Indemnification

You agree to indemnify and hold harmless CertClass from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Platform, (b) your violation of these Terms, (c) your User Data, (d) your violation of any third-party rights, or (e) your interactions with students or staff.

12. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.

13. Third-Party Services

The Platform integrates with third-party services including:

  • Stripe for payment processing
  • Resend for email delivery
  • Supabase for data storage

Your use of these services is subject to their respective terms and policies. We are not responsible for third-party service availability, security, or functionality.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Platform. Continued use after changes constitutes acceptance of the modified Terms. If you disagree with changes, you must cancel your subscription.

15. Governing Law and Disputes

These Terms are governed by the laws of the United States and the State of California, without regard to conflict of law provisions.

Any disputes arising from these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court. You waive any right to participate in class actions.

16. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and CertClass regarding the Platform.

Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.

Waiver: Our failure to enforce any right or provision does not constitute a waiver.

Assignment: You may not assign these Terms without our written consent. We may assign these Terms without restriction.
